Frequently asked questions

How can a foreign company start doing business in Poland?
The most common options are a Polish limited liability company (spółka z ograniczoną odpowiedzialnością, sp. z o.o.), a branch of the foreign company, or a representative office limited to promoting the foreign company. The choice affects liability, taxation and reporting, so it is best made before signing contracts or hiring staff.
Can a foreigner own 100% of a Polish company?
As a rule, yes – Polish law does not require a Polish shareholder or a Polish management board member. Specific rules apply in certain regulated sectors and to the acquisition of real estate by persons and companies from outside the European Economic Area.
Do NIS2 rules apply to my Polish subsidiary or GBS centre?
Possibly. Under the amended Polish National Cybersecurity System Act (UKSC), which implements NIS2, the sector and size of the Polish entity determine whether it is an essential or important entity. Managed ICT service providers – including some service centres – are often covered.
What experience do you bring to GBS and shared service centres?
I co-built the first legal department in a GBS centre in Poland delivering legal services to other markets. I can help you define the scope of a legal or business function, draft intra-group service agreements, organise data transfers and set the regulatory boundaries for services provided from Poland.
How much does a question cost?
A written answer to a question of up to 280 characters costs EUR 29 gross (incl. VAT) and is delivered by email within 15 minutes.
The answers above are general and do not constitute legal advice in an individual matter.
